Bharat Forge Limited — JV/Acquisition, 30-06-2025: Acquisition

Bharat Forge has announced a board meeting on the internal restructuring of its Defence Business by transferring identified assets to its wholly owned subsidiary, Kalyani Strategic Systems Ltd (KSSL), via Optionally Convertible Redeemable Preference Shares worth up to Rs. 500 Cr. This step aims to provide focused management for its high-growth defence segment without impacting consolidated financials. Additionally, Bharat Forge will acquire 100% of AAM India Manufacturing Corporation Pvt Ltd for up to Rs. 770 Cr, enhancing its commercial vehicle axle portfolio. The higher valuation reflects increased cash balances in AAM India, which will be fully available post-deal.
