Bharat Forge has announced a board meeting on approvals for two key moves. First, it’s restructuring by transferring its Defence Business assets to Kalyani Strategic Systems Ltd (KSSL), its wholly owned subsidiary, via issuance of OCRPs up to Rs 500 Cr. This aims to give KSSL focused management and unlock value, with no consolidated financial impact. Second, it is acquiring 100% of AAM India Manufacturing Corporation Pvt Ltd, a major axle maker for commercial vehicles, for up to Rs 770 Cr. The higher deal value reflects increased cash balances at closing, which will remain available post-acquisition, strengthening Bharat Forge’s commercial vehicle component portfolio.
