Bharat Forge Limited — Updates, 30-06-2025: Other Restructuring

Bharat Forge has announced a board meeting on which it approved two key strategic moves. First, the company will transfer its Defence Business assets to its wholly owned subsidiary, Kalyani Strategic Systems Limited (KSSL), through a fair value transaction settled by issuance of Optionally Convertible Redeemable Preference Shares (OCRPs) up to Rs. 500 Cr. This restructuring aims to provide dedicated focus and unlock value in the defence segment without impacting consolidated financials. Second, Bharat Forge has sanctioned an acquisition of 100% equity in AAM India Manufacturing Corporation Private Limited for a revised consideration of up to Rs. 770 Cr, reflecting higher cash balances at closing. This acquisition strengthens Bharat Forge’s commercial vehicle component manufacturing presence.
