MapmyIndia has announced a board meeting to consider and adopt the financial results for the quarter and half-year. The company proposes a final dividend of Rs. 3.50 per equity share, amounting to Rs. 19.05 Cr. Key items for member approval at the AGM include the re-appointment of Mr. Rakesh Kumar Verma as Managing Director with remuneration of Rs. 1.5 Cr per annum for five years, appointment of M/s. M S K A & Associates as statutory auditors for five years at Rs. 27 lakh per annum, and appointment of CS Santosh Kumar Pradhan as secretarial auditor for five years. Material related party transactions with subsidiary Gtropy Systems Pvt Ltd up to Rs. 150 Cr are proposed to support IoT business growth. The company also seeks shareholder approval for treasury operations involving investments, loans, and guarantees up to Rs. 1,000 Cr. Non-executive directors will receive commissions up to 1% of net profits for three years. New independent director Dr. Ranjan Kumar Mohapatra is proposed for appointment based on his expertise in supply chain and management. The AGM will be held through video conferencing with remote e-voting facilities.
