Prime Focus Limited has announced a board meeting to consider an extraordinary general meeting (EOGM) convened through video conferencing to approve a preferential issue of up to 46.27 crore equity shares at INR 120 each, aggregating to INR 5,552 Cr. The issue includes cash allotment of INR 390.5 Cr and share swap consideration to acquire 31.05% equity in its material step-down subsidiary, DNEG S.a.r.l, aiming to consolidate its indirect holding to 87.25%. The cash proceeds will partly fund a further investment in its wholly owned subsidiary PF World Limited for additional stake in DNEG and for general corporate purposes. Special rights with minority investment protections will be granted to Novator Capital Limited, involving amendments to the Articles of Association. Material related party transactions between PF World Limited and promoter group entity A2R Holdings, related to acquisition of a 1.03% stake in DNEG for up to INR 180 Cr, are also on the agenda. Additionally, the company seeks shareholder approval to increase its lending, investment, and guarantee limits by INR 5,000 Cr beyond existing statutory thresholds to support its long-term business plans. These steps reflect a strategic move to consolidate ownership in DNEG and strengthen the group’s capital structure.
