Vintage Coffee and Beverages Limited has announced a board meeting to consider an Extraordinary General Meeting (EOGM) to approve an increase in its authorised share capital from Rs.135 Cr to Rs.155 Cr by creating 2 crore additional equity shares of Rs.10 each. The company seeks shareholder approval to issue up to 1.5 crore equity shares at Rs.124 per share on a preferential basis to non-promoter Qualified Institutional Buyers and Non-Institutional Investors, raising up to Rs.186 Cr. The proceeds will fund business expansion, capital expenditure including a freeze-dried coffee plant, subsidiaries investment, and general corporate purposes.
Additionally, the company proposes issuing up to 24 lakh fully convertible warrants at Rs.124 each to promoters and non-promoter investors, potentially raising Rs.29.76 Cr. Warrants can be converted into equity shares anytime within 18 months. Both equity shares and warrants will be subject to regulatory approvals, dematerialisation, and applicable lock-in provisions. The allotment process is expected to complete within 15 days after shareholder approval.
The preferential issue will not change management control. Valuation was conducted by independent registered valuers, establishing a floor price of Rs.122.24 per share, while the board fixed the issue price at Rs.124 per share. The company confirms compliance with listing norms, no outstanding dues to regulators, and affirms no promoters or directors are wilful defaulters or fugitive economic offenders.
The issuance aims to strengthen the capital base and support sustainable long-term growth while maintaining existing public shareholding levels.
