Soma Textiles & Industries Limited — Important, 10-07-2025: Agreements

Promoter and Promoter Group of Soma Textiles have entered into a Share Purchase Agreement with Roadway Solutions India Infra Ltd and two individuals, Ameet Harjinder Gadhoke and Teja Ranade Gadhoke, to sell 2.48 crore shares (74.98% stake) for Rs. 87.67 Cr. Post-transaction, the Buyers will become promoters, and the Sellers will exit ownership and control. The Buyers will also make an Open Offer to public shareholders, signaling a major ownership and management shift in Soma Textiles.
