Pursuant to regulation 30 of SEBI (LODR) Regulation, 2015 we hereby inform you

that the Board of Directors of Sera Investments & Finance India Limited at their

meeting held on Friday, 11th July, 2025 has inter alia considered and approved the

following:

1. Resignation of the existing Statutory Auditor i.e. Ashit N. Shah & Co.,

Chartered Accountants (FRN- 0100624W) vide letter dated 11/07/2025, be

and is hereby accepted and taken on record with effect from 11/07/2025

pursuant to the provisions of Section 140 of the Companies Act, 2013 read

with rule 8 of the Companies (Audit and Auditor) Rules, 2014 and other

applicable provisions of the Act, if any, including any statutory

modifications, amendments or re-enactments thereof.

Disclosure as required under Regulation 30 of SEBI (Listing Obligations and

Disclosure Requirements) 2015, as per SEBI Circular no.

CIR/CFD/CMD/4/2015 dated September 09, 2015 is attached as

Annexure-I.

2. Appointment of M/s S D P M & Co., Chartered Accountants, (Firm

Registration No. 126741W) Ahmedabad, be and are hereby appointed to hold

the office as the Statutory Auditors of the Company pursuant to the

provisions of sections 139, 142, 143 and other applicable provisions, if any,

of the Companies Act, 2013 (“the Act”) and the Companies (Audit and

Auditors) rules, 2014, as amended from time to time.

Disclosure Requirements) 2015, as per SEBI Circular no.
