With reference to the above captioned and Pursuant to Regulation 30(2) read with Schedule il of SEBI (Listing

Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Company have

approved the following resolution, as stated in the Notice of Annual General Meeting through remote e-voting held on Friday, July 11, 2025.

1. Increase in the Authorized Share Capital of the company from existing Rs. 5,00,00,000 (Rupees Five Crores Only) divided into 1,00,00,000 (One Crore) Equity Shares of Rs. 5/- (Rupees Five Only) each to Rs. 13,50,00,000/- (Rupees

Thirteen Crores Fifty Lakhs Only) divided into 2,70,00,000 (Two Crores Seventy Lakhs) Equity Shares of Rs. 5/-

(Rupees Five Only) each ranking pari passu with the existing equity shares of the company.

2.In order to reflect the proposed change in Authorised Share Capital, the Board proposed consequential alteration in

Clause V L.e. Capital Clause of Memorandum of Association of the Company.

The amended Clause V of the Memorandum of Association as required under Regulation 30 read with Part A of

the Schedule 111 of the Listing Regulations, is enclosed herewith as ‘Annexure A’ respectively.
