Samvardhana Motherson International Limited — QIP/Rights/Pref., 21-07-2025: Allotment of Securities

Samvardhana Motherson has allotted 351.81 crore bonus equity shares, following shareholder approval for a 1:2 ratio (one bonus share for every two held). This move increases the company's paid-up equity capital from INR 703.63 Cr to INR 1055.44 Cr, effectively capitalizing reserves. Additionally, the conversion terms for 1.5 lakh compulsorily convertible debentures (CCDs), previously issued via Qualified Institutions Placement, have been adjusted. The floor price for converting these CCDs into equity shares is now INR 126.67, down from INR 190, directly reflecting the bonus share issuance.
