Veranda Learning Solutions (VLS) is demerging its Commerce Test Prep business into a new listed entity, JK Shah Commerce Education Limited (JKSC), to unlock shareholder value and enable focused growth. This move aims for tailored strategies and an optimal capital structure for the commerce segment.

Projections for FY26 show the Commerce Segment hitting ₹344 Cr revenue and ₹136 Cr EBITDA. The Non-Commerce segment is projected for ₹328 Cr revenue and ₹44 Cr EBITDA. This demerger is anticipated to create a composite share value of ₹294, up from the current market price of ₹225. The Commerce Segment expects to serve ~2.01 lakh students by FY26. This strategic step gives investors direct exposure to a high-growth education platform.
