Bijoy Hans Ltd — Updates, 28-07-2025: Company Update

Bijoy Hans Limited confirmed a major management and control overhaul after an open offer, despite zero shares tendered. The board approved quarterly financial results and announced significant leadership changes. Mr. Kaushal Uttam Shah is the new Chairman & MD (subject to shareholder nod). Two independent directors, a new CFO, and a new statutory auditor have been appointed, replacing previous key personnel and board members who resigned. Board committees were also reformed. Crucially, Rs 5.625 Cr from a preferential issue has been used as planned, with no deviations. An AGM will seek shareholder approval for these changes.
