Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations,

2015, as amended from time to time, this is to inform you that the Board of Directors of the Company,

at its meeting held today, i.e., August 06, 2025, inter-alia, considered and approved the following items:

1. Approved the Notice of the 36th Annual General Meeting (“AGM”) of the Company, to be held

on Friday, September 26, 2025, at 12:00 Noon through Video Conferencing / Other Audio-Visual

Means, in compliance with the applicable regulatory provisions and the circulars issued by the

Ministry of Corporate Affairs, Government of India and Securities and Exchange Board of India.

The Notice of the AGM will be submitted in due course.

2. Re-appointment of Mr. Ashok Kumar Sawhney (DIN: 00303519) as Non - Executive Director of

the Company, who retires by rotation and being eligible, offers himself for re-appointment subject

to the approval of shareholders. The details as required under SEBI (Listing Obligations and

Disclosure Requirements) Regulations, 2015 is enclosed as Annexure.

3. Re-Appointment of Mr. Chirag Gupta (DIN: 09040722) as an Independent Director of the

Company, subject to the approval of shareholders. The details as required under SEBI (Listing

Obligations and Disclosure Requirements) Regulations, 2015 is enclosed as Annexure.
