Pursuant to Regulation 30 read with Part A of Schedule lll of the Securities and Exchange Board of lndia

(Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), we wish to

inform you that the Board of Directors of the Company at its meeting held today at 3.30 p.m. and

concluded at 3.55 p.m., inter alia considered and approved the following:

1. Un-audited Financial Results of the Company for the quarter ended 30th June, 2025, together with

the Limited Review Report thereon by the Statutory Auditors of the Company; (Enclosed herewith as

"Annexure-A")

2. Fixed the date of 40th Annual General Meeting (AGM) of the Company as Tuesday, 23'd September,

2025

3. Considered re-appointment of Mr. Shahin .N. Khemani as Managing Director of the Company

subject to approval of the Members

4. Reclassification of Promoter/ Promoter Group: With reference to our communication vide letter dated

23'd July, 2025, we wish to inform you that the Board of Directors of the Company at their meeting

held today on 6th August, 2025, has inter-alia considered and approved the request received by the

Promoter / Promoter Group for re-classification of the 'Promoter' category to the 'Public' category

holding NIL shareholding of the Company

Further, the Ministry of Corporate Affairs (MCA) vide its General Circular no. O2l 2022 dated 5th May,

2022 read with General Circular no.2012020 dated Sth May, 2020, read with General Circular no 0912023

dated 25th September, 2023 and General Circular no 0912024 dated 19th September, 2024 has allowed

Companies to hold their Annual General Meetings through Video Conferencing (VC) or Other Audio-

Visual Means (OAVM), during the calendar yeat 2025. Accordingly, it is proposed to convene the

40th Annual General Meeting of the Company on 23'd September,2025 through Video Conferencing (VC)

or Other Audio-Visual Means (OAVM) and in compliance with the requirements of the aforesaid MCA

General Circulars.

Also, the aforesaid MCA General Circular dated 5th May,2022 read with General Circular dated Sth May,

2020 and SEBI Circular No, SEBI/HO/CFD/CMD2/C|R|P|2022|62 dated 13th May, 2022 read with SEBI

Circular No' SEBI/HO/CFD/CMD1lClRlP12020/79 dated 12th May, 2020 has granted relaxations to the

Companies, with respect to printing and dispatching physical copies of Annual Report to shareholders.

Accordingly, the Company will only be sending soft copy of the Annual Report 2024-25 to the

shareholders whose email ids are registered with the Company/ Registrar and Share Transfer Agent.

Those shareholders of the Company whose email id are not updated with the Company are requested to

update it at their earliest for receiving soft copy of the Annual Report 2024-25 of the Company.
