Dear Sir/Madam,
Pursuant to Regulation 29 of Securities and Exchange Board of India (Listing Obligation and
Disclosure Requirements) Regulations, 2015, we wish to inform you that, a meeting of the
Board of Directors of Nibe Ordnance and Maritime Limited (“The Company”) is scheduled
to be held on Monday, August 11, 2025, to consider the below matters:
1. To consider and approve the Unaudited Standalone and Consolidated Financial
Results of the Company for the Quarter ended June 30, 2025.
2. To consider and approve the proposal of raising of funds by way of issuance of
equity shares and/or issuance of other securities / warrants convertible into equity
shares of the Company through preferential allotment on private placement basis,
subject to such regulatory/statutory approvals as may be required and the approval
of shareholders of the Company.
Further, in continuation to our earlier intimation dated June 26, 2025 and in compliance with
the provisions of the SEBI (Prohibition of Insider Trading) Regulations, 2015 and the
Company's Code of Conduct for Regulating, Monitoring and Reporting of Trading by
Designated Person(s)", the Trading Window for dealing in the securities of the Company for
all the all Directors, Promoters, Designated Persons and Connected Persons including
Insiders, had already been closed with effect from July 01, 2025 and shall remain closed till
Forty-Eight (48) hours after the declaration of Unaudited Financial Results of the Company
for the Quarter ended June 30, 2025.
