Sub: Notice of Forfeiture of Partly Paid-up Equity Shares in terms of Regulation 30 of the SEBI

(Listing Obligations and Disclosure Requirements) Regulations, 2015.

Dear Sir,

This has reference to our intimation dated July 30, 2025, wherein the Rights Issue Committee of the

Board of Directors of the Company at its meeting, approved the forfeiture of 1,28,955 partly paid-up

equity shares having face value of ₹ 10 each.

This action was taken due to non-receipt of the First and Final Call money from the eligible shareholders

within the stipulated timeline, pursuant to First and Final Call Notice dated April 15, 2025 and First and

Final Reminder-cum-Forfeiture Notice dated June 18, 2025 read with Letter of Offer dated January 10,

2025 in respect of Rights Issue made by the Company.

In this connection, we wish to inform you that, the Company have sent a notice regarding the forfeiture

of these partly paid-up equity shares to all shareholders who failed to pay the First and Final Call money

on or before July 7, 2025.

A specimen copy of the notice sent to the defaulting shareholders is enclosed herewith for your

reference.

Dear Members,

Sub: Notice of Forfeiture on partly paid-up equity share issued by GTT Data Solutions Limited (the “Company”),

on a rights basis, pursuant to the Letter of Offer dated January 10, 2025 (“Letter of Offer”) (“Issue”).

This is to inform you that, in terms of the First and Final Call Notice dated April 15, 2025, and the First and Final Reminder-

cum-Forfeiture Notice dated June 18, 2025, the Company had given notice to the shareholders of partly paid-up equity

shares to pay their respective unpaid call money due on shares held by them. It was also communicated that failure to pay

the respective call money would render the partly paid-up equity shares of the Company held by the shareholders, including

the amount already paid thereon, liable to be forfeited in accordance with the provisions of the Companies Act, 2013 and

rules made thereunder, the Articles of Association of the Company, and the Letter of Offer.

The Rights Issue Committee of the Board of Directors of the Company at their meeting held on Wednesday, July 30, 2025,

have decided to forfeit the below mentioned partly paid up equity shares held by you in the Company, including amount

already paid thereon, due to non-payment of call money by the last date of payment i.e. July 7, 2025.

The forfeiture of a share shall involve extinction of all interest in and all claims and demands against the Company, in respect

of the forfeited shares and all other rights incidental thereto.

A forfeited share shall be deemed to be the property of the Company and the Company may at any time make a sale or

disposal or cancel the forfeiture on such terms as it thinks fit.

All capitalized terms not defined herein would have the same meaning as attributed to it in the Letter of Offer.
