Soma Papers & Industries Ltd's board has approved a significant strategic shift, including the acquisition of 100% of KS Smart Solutions Private Limited (KSSPL). KSSPL, an IT solutions firm with a FY24-25 turnover of approximately ₹696.58 Cr, will be acquired for around ₹48.74 Cr via a share swap. This move aims to expand Soma Papers' presence in the B2G sector, particularly in surveillance and edutech solutions. To fund growth and the acquisition, the board also approved increasing the authorized share capital from ₹5 Cr to ₹165 Cr, alongside a series of preferential share and warrant issuances totaling approximately ₹225 Cr (including the swap portion). An Extra-Ordinary General Meeting is planned to seek shareholder approval for these proposals.
