Ref: Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015
We would like to inform that the Board of Directors in their meeting held on Friday, 8" August, 2025 has
inter-alia transacted the following matters:
1. Considered and Approved the Unaudited Standalone Financial Results as per Regulation 33 of the
SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 for the quarter ended
30" June, 2025.
2, Took on record, the Limited Review Report on Unaudited Financial Results for the quarter ended
30 June, 2025.
3. The 55th Annual General Meeting of the Company for the financial year 2024-25 is scheduled to be
held on Monday, 29" September, 2025 at 10.00 A.M at B-6/3, IDA, Uppal, Hyderabad — 500039,
Telangana, India.
4. Approved the Directors Report for the Financial Year 2024-25 along with Annexures thereto.
6. Approved the Cut-off date as Monday, 22™ September, 2025 for remote e-voting and voting during
AGM for the purpose of 55" AGM of the company and the persons whose names are recorded in
the Register of members or in the Register of Beneficial Owners maintained by the depositories as
on Monday, 22 September, 2025 (“the cut-off date)” shall be entitled to vote in respect of the shares
held, by availing the facility of remote e-voting or voting during the AGM.
7. Appointed Ms Sridevi Madati (M.No.F6476) (CP No.11694), MNM & Associates, Practicing
Company Secretaries, Hyderabad as the Scrutinizer for Scrutinizing the E-voting process in
accordance with the provisions of the Companies act 2013 & rules made there under and provide
the consolidated report on the votes cast during the AGM and through remote e-voting “in favor” or
“against” the resolutions stated in the notice sent to the members for the 55 Annual General Meeting

NOTES:
01. These financial results have been prepared in accordance with the Indian Accounting Standards notified
under the Companies (Indian Accounting Standards) Rules, 2015, prescribed under section 133 of the
Companies Act 2013 and other recognised accounting practices and policies to the extent applicable.
02. Accounting Policies declared by the Company in Annual accounts for the year ended March 31, 2025,
have been consistently followed.
03. The above financial results were reviewed by the Audit Committee and approved by the Board of
Directors at its meeting held on August 08, 2025.
04. The Chief Operating Decision Maker reviews business performance at overall Company level as one
segment. Therefore, Segment Reporting as per Ind — AS 108 is not applicable to the Company.
05. Comparative figures have been re-arranged wherever necessary to make them comparable with those
of Current period, without any fiscal impact on the results.

To the Board of Directors of INCON ENGINEERS LIMITED
We have reviewed the accompanying statement of unaudited financial results of INCON
ENGINEERS
LIMITED, B-6/3, I.D.A. Uppal, Hyderabad - 500 039, Telangana (“the Company”) for the quarter
ended
30th June 2025 ("the Statement") being submitted by the Company pursuant to the requirement
of
Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015
(as
amended).This Statement which is the responsibility of the Company's Management and has
been
approved by the Board of Directors, has been prepared in accordance with the recognition
and
measurement principles laid dowr in the Indian Accounting Standard 34 "Interim Financial
Reporting" ("Ind AS 34"), prescribed under Section 133 of the Companies Act, 2013 read
with
relevant rules issued there under and other accounting principles generally accepted in India. Our
responsibility is to express a conclusion on the Statement based on our review.
We conducted our review of the Statement, in accordance with the Standard on Review
Engagements (SRE) 2410, "Review of Interim Financial Information Performed by the Independent
Auditor of the Entity", issued by the Institute of Chartered Accountants of India. This Standard
requires that we plan and perform the review to obtain moderate assurance as to whether the
Statement is free from material misstatement. A review is limited primarily to inquiries of the
Company personnel and analytical procedures applied to financial data and thus provides less
assurance than an audit. We have not performed an audit and accordingly, we do not express an
audit opinion.
Based on our review conducted as stated above, nothing has come to our attention that causes us
to believe that the accompanying Statement, prepared in accordance with the aforesaid Indian
Accounting Standards (Ind AS) and other accounting principles generally accepted in India, has not
disclosed the information required to be disclosed in terms of Regulation 33 of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015 (as amended), including the manner in
which it is to be disclosed, or that it contains any material misstatement.
