NOTICE OF HEARING OF THE COMPANY PETITION FILED BEFORE THE NATIONAL COMPANY LAW TRIBUNAL, BENGALURU BENCH

Pursuant to the directions of this Hon'ble National Company Law Tribunal, Bengaluru Bench (“NCLT”), by its order dated July 4, 2025 (“Order”), passed in the Company Petition numbered as C.P. (CAA) No. 23/BB/2025 (“Company Petition”), notice is

hereby given that the Company Petition, seeking sanction from the Hon'ble NCLT to the Scheme of Amalgamation amongst MoEngage Inc., MoEngage India Private Limited

(“Petitioner Company”) and their respective shareholders and creditors, was filed by the Petitioner Company, on June 2, 2025 and the same was admitted by the Hon'ble

NCLT on July 4, 2025. The Hon'ble NCLT has fixed the Company Petition for final hearing on August 20, 2025. Any person who is desirous of supporting the Company Petition, should send to the

Petitioner Company at the address mentioned hereunder, a notice of their intention, signed by them or their advocate, with their full name and address, so as to reach the

Petitioner Company not later than 7 (seven) days before the date fixed for the hearing of the Company Petition. Where any person seeks to oppose the Company Petition, the

grounds of opposition or a copy of the adavit intended to be used in opposition to the Company Petition, should be filed before the Hon'ble NCLT, at Raheja Towers, Vittal

Mallya Rd, KG Halli, D' Souza Layout, Ashok Nagar, Bengaluru, Karnataka 560001, and a copy thereof should be served on the Petitioner Company, not less than 7 (seven)

days before the date fixed for final hearing of the said Company Petition. A copy of the Company Petition, as filed before the Hon'ble NCLT, can also be obtained
