Lodha Developers Limited — Updates, 11-08-2025: Scheme of Arrangement

Lodha Developers Limited (LDL) has modified its previously announced merger scheme. The board decided to exclude Sanathnagar Enterprises Limited (SEL) from the absorption plan, following discussions with stakeholders. Importantly, this exclusion does not affect LDL shareholders or debenture holders. The share exchange ratios for the remaining merging entities, Roselabs Finance Limited and National Standard (India) Limited, also remain unchanged. These two subsidiaries have no significant ongoing operations or future business plans. The revised scheme awaits necessary regulatory and stakeholder approvals.
