PH Capital Ltd — Important, 18-08-2025: Company Update

PH Capital Limited announced the resignation of Mr. Prashant Chaturvedi as a Non-Executive-Independent Director, effective close of business on August 18, 2025. His departure is due to personal commitments, also leading him to step down from the Audit, Nomination & Remuneration, and Corporate Social Responsibility Committees. To ensure continued compliance with governance requirements, the company has reconstituted these committees, effective August 19, 2025. Mr. Sougata Sengupta will now chair the Audit and Nomination & Remuneration Committees, and Mrs. Sejal Rikeen Dalal will chair the Corporate Social Responsibility Committee, maintaining the board's structural integrity.
