Saksoft Limited — JV/Acquisition, 26-08-2025: Amalgamation/Merger

Saksoft Ltd. is merging with its wholly-owned subsidiary, Augmento Labs Pvt Ltd. The objective is to simplify the group structure, unlock synergies, achieve economies of scale, and boost operational efficiency. As Augmento Labs is a wholly-owned subsidiary, Saksoft will not issue any new shares, nor will there be any cash payment. This means no dilution for existing Saksoft shareholders. The expected impact is enhanced overall shareholder value through optimized resources and reduced overheads. The Scheme of Amalgamation is effective from April 1, 2026, subject to necessary approvals.
