Ramkrishna Forgings Limited — Others, 27-08-2025: Shareholders meeting

Ramkrishna Forgings has called its 43rd Annual General Meeting on 20 September, 2025, to be held virtually. Shareholders will vote on adopting the financial results for the year ended 31 March, 2025, and re-appointing Directors Mr. Naresh Jalan and Mr. Lalit Kumar Khetan. Other agenda items include approving a 0.44 Cr remuneration for the Cost Auditor and appointing a Secretarial Auditor. Crucially, shareholders will consider waiving the recovery of 6.93 Cr in excess director remuneration for FY25. This stems from a 202.60 Cr adverse impact (net of tax) due to a 220.52 Cr inventory overstatement from erroneous entries and market conditions. Mr. Khetan's remuneration includes 6.55 Cr from ESOPs.
