Shri Gang Industries & Allied Products Ltd — Important, 29-08-2025: Company Update

The company's Board has appointed M/s Monika Kohli & Associates as Secretarial Auditor for five years (FY2025-26 to FY2029-30) and re-appointed Mr. Arun Kumar Sharma as Whole Time Director for two years, effective November 13, 2025. Mr. Varun Gupta, COO, has been designated Senior Management Personnel. The Board also approved a preferential issue of 7.5 lakh fully convertible warrants to Mr. Varun Gupta at Rs. 99 each, raising up to Rs. 7.425 Cr. Additionally, 7.5 lakh sweat equity shares were approved for Mr. Gupta at Rs. 99 each for his contributions. A preferential issue of 13.13 lakh Compulsorily Convertible Preference Shares at Rs. 99 each was approved for Express Infra Financial Consultancy, converting an outstanding unsecured loan of approximately Rs. 13.00 Cr. All these equity-linked issues are subject to shareholder approval. The company will hold its 36th Annual General Meeting on September 30, 2025.
