Navkar Urbanstructure Ltd. (NAVKARURB) has filed its 33rd Annual Report for FY25, revealing a mixed bag for investors.

**The Financial Picture (FY25 vs FY24):**

The company's financial performance saw a notable decline. Revenue from operations dropped to **₹16.06 Cr** from **₹18.72 Cr**. Profit Before Tax (PBT) fell sharply by ~52% to **₹0.70 Cr**, and Profit After Tax (PAT) decreased by ~69% to **₹0.31 Cr**. Basic Earnings Per Share (EPS) also declined significantly from ₹0.05 to ₹0.01. Cash generated from operations saw a steep drop, from **₹9.68 Cr** to just **₹0.99 Cr**, highlighting reduced operational cash flow. Key ratios like Net Profit Margin (0.02% from 0.05%) and Interest Coverage Ratio (2.74 from 5.51) also reflect this contraction in profitability.

**Issue: Regulatory Non-Compliance & Internal Control Concerns**

The independent auditor and secretarial auditor highlighted several critical issues:

1. **Improper Deposits:** The company accepted **₹2.25 Cr** as deposits from Blessing Infra Developers LLP in contravention of the Companies Act.

2. **Statutory Dues:** The company has not been regular in depositing undisputed statutory dues (TDS) by the end of the reporting period.

3. **Unclaimed Dividends:** Unclaimed dividends from multiple financial years (2014-15 to 2017-18) were not transferred to the Investor Education and Protection Fund (IEPF) due to a "technical error."

4. **Audit Trail Deficiency:** The accounting software lacks an audit trail (edit log) facility, which the auditor could not comment on, pointing to a potential internal control weakness.

5. **Governance Lapses:** Statutory registers, board minutes, and attendance sheets were not properly maintained or produced for verification. There were also late filings for cash flow statements, annual secretarial compliance reports (incurring a small fine), and dividend declarations. The company’s website was not fully updated as per regulations, and it does not have a valid factory license.

**Impact for Investors:**

These compliance issues pose a risk of regulatory penalties, increased scrutiny, and potential legal challenges, which could erode investor confidence. The significant drop in profitability and operational cash flow suggests the company is facing headwinds in its core business.

**Company's Response/Mitigation:**

The company’s direct responses to these issues are limited. For unclaimed dividends, management cited "technical error" and stated a "commitment to timely disclosure." The Board generally noted that auditor observations were "self-explanatory" without detailing specific mitigation plans for each non-compliance. Management has, however, stated efforts to achieve targeted turnover and implement operational excellence programs, though this has yet to reflect in the results.

**Key Corporate Actions (Post-FY End):**

Post the financial year-end, the company has announced significant capital restructuring:

* A **3:2 bonus share issue** (3 new shares for every 2 held).

* A **stock split** of shares from ₹2 face value to ₹1 face value each.

These actions will substantially increase the total number of outstanding shares and improve liquidity, potentially making the stock more accessible to retail investors.

The company has also proposed a final dividend of **₹0.005 per equity share** (on the post-split face value of ₹1) for FY25, subject to shareholder approval at the upcoming Annual General Meeting on September 30, 2025.
