Constronics Infra Ltd — Important, 04-09-2025: Company Update

The Board has approved key governance changes, including the re-appointment of M/s. B Thiagarajan & Co. as Statutory Auditor and Mr. S S Vignesh as Secretarial Auditor, both for five-year terms. Mr. Rajamani Ragavachari Sundara Raghavan was re-appointed Managing Director for three years, and Mr. Rajendren Purushothaman as Independent Director for three years. Mr. Kailas Asokkumar Ashon was appointed as a new independent director for three years, and Mr. Tirukkurungudi Seshadri Srinivasan's independent directorship will continue. Meanwhile, Mr. Brough Nagar David Yesaian has resigned as an Independent Director. All these decisions await shareholder approval at the upcoming 33rd Annual General Meeting.
