Sanmitra Commercial Ltd — Important, 01-01-1970: Company Update

Ankit Jalan and Anuj Jalan, along with Persons Acting in Concert, have launched an open offer to acquire up to 26% of Sanmitra Commercial Limited (SCL) at Rs. 15 per share. This move follows a preferential share allotment and a share purchase agreement, aiming for management control. SCL currently has no business operations or revenue. The acquirers plan to expand its activities, possibly diversifying. The maximum offer consideration is Rs. 22.46 crore, with Rs. 5.625 crore deposited in escrow. SCL's latest quarterly results show a loss of Rs. 2.20 lakh. The Independent Directors' views on the offer will be published shortly. The acquirers will ensure compliance with public shareholding norms and intend to keep SCL listed.
