Mahindra Lifespace Developers Limited — Important, 18-09-2025: Disclosure of material issue

What's Happening: Mahindra Lifespace (#MLDL) is consolidating its stake in its real estate development subsidiary, Mahindra Homes Private Limited (#MHPL). The Board has approved acquiring the entire remaining 25.65% stake held by Actis Mahi Holdings Singapore Private Limited.

This move will make MHPL a Wholly Owned Subsidiary (WOS) of MLDL, giving the parent company full control over its operations and projects like 'Windchimes' in Bengaluru and 'Luminare – Phase 3' in Gurgaon. MHPL recorded a turnover of 6.56 Cr in FY23-24 and 8.81 Cr in FY22-23 (Nil in FY24-25).

The acquisition, a related party transaction, will be for a cash consideration not exceeding Rs. 90 Cr, executed on an arm's length basis. The transaction is subject to shareholder approval and is expected to close within three months. #RealEstate #CorpAction
