Prajay Engineers Syndicate Limited has informed the Exchange about change in ManagementSub: 31st AGM VOTING RESULTS RE-APPOINTMENT OF DIRECTORS OF THE COMPANY.Ref: Regulation 30 read with clause 7 of para A of part A of Schedule III of the SEBI (ListingObligations & Disclosure Requirements) Regulations, 2015.With reference to the above cited subject, we would like to inform you that based on the Voting Results and Scrutinizer s Report dated 30 September, 2025 for the 31st AGM of the Company, the following are duly approved by the members of the Company, upon recommendation of the Nomination and Remuneration Committee and Board of Directors, with requisite majority as mentioned below -1. Approved Mr. Rohit Reddy Dantapalli, (DIN:07560450) who retires by rotation as a director, be and is hereby re-appointed as a Director of the Company, liable to retire by rotation2. Approved the Appointment of Mr. Dharam Karan Kora (DIN: 11270639) as an Independent Director of the Company for a term of 5 years, upto conclusion of term of 5 consecutive years from the date of the 31st AGM.3. Approved the appointment of Mr. Vijaysen Reddy Dantapalli, (DIN 00291185), as Executive Chairman & Managing Director of the Company for a period of 3 years w.e.f., from 02nd September, 2025In compliance with SEBI Letter dated June 14, 2018 and BSE Circular LIST/COMP/14/2018-19 dated June 20, 2018, we wish to confirm that Mr. Rohit Reddy Dantapalli, (DIN:07560450), Mr. Dharam Karan Kora (DIN: 11270639) and of Mr. Vijaysen Reddy Dantapalli, (DIN 00291185), has not been debarred from holding the office of Director by virtue of any SEBI Order or any other Authority.The Disclosures as required under SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13th July, 2023 is enclosed herewith as Annexure A.This is for your information and records.
