Vijaya Diagnostic Centre Limited — JV/Acquisition, 16-10-2025: Amalgamation/Merger

Vijaya Diagnostic Centre (VDCL) is set to merge with its subsidiary, Medinova Diagnostic Services (MDSL), following NCLT approval. This strategic move aims to consolidate diagnostic services, unlock synergies, achieve cost efficiencies, and streamline the group structure. MDSL's public shareholders will receive 1 new VDCL equity share (FV ₹1) for every 22 MDSL shares (FV ₹10) they hold. This integration is expected to enhance overall stakeholder value by creating a larger, more efficient entity, though existing VDCL shareholders will experience some dilution. The appointed date for the scheme is April 1, 2024.
