Medinova Diagnostic Services Ltd — Important, 16-10-2025: Company Update

The National Company Law Tribunal has approved the merger of Medinova Diagnostic Services Limited (MDSL) into Vijaya Diagnostic Centre Limited (VDCL). This amalgamation, effective April 1, 2024, aims to combine their diagnostic services businesses, creating operational synergies, cost savings, and a simplified corporate structure. MDSL public shareholders will receive 1 VDCL equity share for every 22 MDSL shares. VDCL's existing 62.14% stake in MDSL will be cancelled. As part of the merger, VDCL will take on all of MDSL's assets and liabilities, including any pending legal matters and financial obligations, ensuring a smooth transition for all stakeholders.
