Narayana Hrudayalaya has completed the acquisition of UK-based Practice Plus Group Hospitals (PPG) for approximately £183 million, primarily funded by £150 million in long-term debt. This move establishes NH's footprint in the attractive UK healthcare market.
PPG is the UK's 5th largest private healthcare network and 4th largest NHS service provider, known for its asset-light, day-care focused model. It reported robust performance with FY24 revenue of £229 million and an estimated £250 million for FY25, alongside adjusted EBITDA of £16 million (FY24) and £20 million (FY25E). PPG has maintained a strong ~12% CAGR in revenue and centre EBITDA over the last five years.
The acquisition capitalizes on the UK market's shift towards day-care and private pay, leveraging PPG’s stable, long-term NHS contracts which make up 93% of its revenue. Management's vision is to transform PPG into a leading UK private pay provider by maximizing its ~50% unused capacity, enhancing services, increasing private patient engagement, and integrating NH's digital platforms like Athma for improved efficiency and patient outcomes. This strategy points to a low-risk, value-accretive growth path.
