PPG is the UK's 5th largest private healthcare network, primarily serving the NHS (93% revenue). It has shown robust performance, with revenue and Centre EBITDA growing 12% annually over the last five years; FY25E revenue stands at £250 million.
This acquisition diversifies NH's international presence, tapping into the growing UK market's shift towards day-care and private pay. NH aims to leverage PPG's asset-light model, strong management, and digital platforms like Athma to drive operational efficiency and expand services. The strategic goal is to transform PPG into a leading UK private pay provider while maintaining its strong NHS foundation. PPG's existing centers have about 50% capacity for future growth. The deal implies a 9.2x FY25E EV/EBITDA multiple.
