Mahindra Lifespace Developers Limited — Important, 28-11-2025: Disclosure of material issue

Mahindra Lifespace Developers (MLDL) is taking full control of its subsidiary, Mahindra Homes Pvt Ltd (MHPL), by acquiring the remaining 25.65% stake from Actis for ₹86.40 Cr in cash. The Share Purchase Agreement was executed, making MHPL a 100% wholly-owned subsidiary by December 31, 2025.

This move allows MLDL to streamline operations and gain complete oversight of MHPL's residential projects, like 'Windchimes' and 'Luminare – Phase 3'. MHPL reported nil turnover in FY24-25, with ₹6.56 Cr in FY23-24.
