Lotus Chocolate Company Ltd — Important, 01-12-2025: Company Update

Lotus Chocolate Company Limited has a new promoter and holding company. Following a court-sanctioned Composite Scheme of Arrangement, the previous promoter, Reliance Consumer Products Limited (RCPL), has transferred its 51% stake (65,49,065 equity shares) to Tira Beauty Limited (New RCPL). As a result, Tira Beauty Limited is now the new holding company and promoter. This marks a significant change in the company's control structure. Importantly, the aggregate shareholding of the promoter and promoter group remains unchanged by this transaction.
