Intrasoft Technologies Limited — JV/Acquisition, 04-12-2025: Amalgamation/Merger

IntraSoft Technologies Ltd (ITL) is merging with its wholly-owned subsidiary, One Two Three Greetings (India) Private Ltd (123G). This strategic move aims to boost synergy, optimize costs, expand business scope, and enhance overall profitability. As 123G is a wholly-owned subsidiary, no new ITL shares will be issued, ensuring no dilution for existing shareholders. The merger also streamlines operations by consolidating activities under one roof. ITL's authorized share capital will increase from Rs 25.25 Cr to Rs 27.25 Cr. The scheme is effective from April 1, 2025, pending Central Government approvals.
