NRB Bearing Limited — Pledging, 19-12-2025: Pledge/Unpledge

NRB Bearings' promoter group saw an inter-se shares pledge arrangement. Harshbeena Sahney Zaveri pledged 30.05 lakh (3,005,000) equity shares to Tata Capital Limited. Simultaneously, Trilochan Singh Sahney Trust – 1 released a pledge of an identical 30.05 lakh shares. This transaction is for personal use by Trilochan Singh Sahney Trust 1, including family settlement, and crucially, does not create any additional pledge by the promoter group. The overall percentage of promoter shares pledged remains unchanged. Post this realignment, Harshbeena Sahney Zaveri's pledged shares stand at 249.19 lakh, representing 25.71% of NRB Bearings' total share capital and 61.98% of her individual holding. The total value of encumbered promoter shares is approximately Rs 820.76 Cr against an involved amount of Rs 291.75 Cr, providing a security cover of 2.81:1. Investors should note that while the overall group pledge percentage is stable, a significant portion (over 60%) of Harshbeena Sahney Zaveri's personal holding is now pledged.
