Indian Overseas BankImportant, 19-12-2025: Disclosure of material issue

19-12-2025 | 08:19 pm

**Issue:**

Indian Overseas Bank (IOB) has disclosed that its Promoter, the Government of India, conducted an off-market sale of 678,385,458 equity shares. The transaction was valued at Rs 203.52 Cr.

**Possible Impact:**

Although promoter share sales can sometimes be perceived negatively, the Government of India maintains a substantial 96.38% shareholding in IOB post-sale. This off-market transaction appears to be a technical adjustment or strategic transfer, rather than a market-driven sell-off, and does not indicate a significant shift in control or confidence from the majority shareholder. For retail investors, the Government's strong ownership of IOB remains firmly in place.

**Company’s Response/Mitigation Plan:**

The bank's action is to fulfill its regulatory obligation by disclosing this promoter transaction as required by SEBI's Insider Trading Regulations. There is no direct mitigation plan from the bank regarding the promoter's decision to sell shares, as the transaction was initiated by the promoter.
