Ambuja Cements Limited — JV/Acquisition, 22-12-2025: Amalgamation/Merger

Ambuja Cements is consolidating its operations by merging with ACC Ltd. and Orient Cement Ltd. This strategic move aims to boost efficiency, achieve massive synergies, and unlock economies of scale across the entire cement business. ACC shareholders (excluding Ambuja) will get 328 new Ambuja shares (FV Rs. 2) for every 100 ACC shares (FV Rs. 10). This means Ambuja's promoter holding will shift from 67.65% to 61.63%, with public float increasing. Orient Cement shareholders get 33 Ambuja shares (FV Rs. 2) for every 100 Orient Cement shares (FV Re. 1). The goal is stronger profitability and long-term value for shareholders, subject to required approvals.
