Coforge Limited — JV/Acquisition, 26-12-2025: Acquisition

Coforge has announced a pivotal acquisition, taking 100% control of Encora US Holdco & Encora Holdings (Cayman) for an enterprise value of US$2.35 billion. The deal is partly financed by issuing Coforge shares worth INR 17,032.60 Cr. This strategic move aims to establish Coforge as an AI-led engineering leader, integrating Encora's strong AI-native DNA and AIVA platform. The acquisition will immediately scale Coforge's HiTech and Healthcare verticals, expand its LATAM nearshore delivery, and boost its US West/Midwest client presence. The combined entity is projected as a $2.5 billion tech powerhouse, with no expected EPS dilution.
