Hubtown Limited — JV/Acquisition, 30-12-2025: Amalgamation/Merger

Hubtown Limited (HL) re-approved a composite merger. Distinctive Realty (DRPL) will first merge into Amazia Developers (ADPL), followed by ADPL and Nitant Real Estate (NREPL) merging into HL. This aims to consolidate prime luxury real estate projects ('25 South', '25 Downtown') into HL, enhancing its investment profile, scale, and operational efficiency. HL will issue 6,221 shares for every 1 ADPL share and 16 shares for every 1 NREPL share.
