Devyani International (DIL) and Sapphire Foods (SFIL) are merging in a strategic move to create one of India's largest QSR operators. SFIL shareholders will receive 177 DIL shares for every 100 SFIL shares.
The combined entity projects FY25 pro-forma revenues of ₹7,826.5 Cr with an EBITDA of ₹1,334.7 Cr, operating over 3,000 stores across India and internationally. Yum! Brands fully supports the deal, viewing India as a high-priority market, and DIL will also acquire 19 KFC outlets from Yum.
This merger aims to unlock significant scale and operational synergies, with potential benefits of ₹210-225 Cr at the EBITDA level, expected to be fully realized within two years. Growth strategies include expanding KFC, strengthening Pizza Hut, and growing the non-Yum portfolio, supported by a stronger balance sheet for accelerated expansion.
