Narbada Gems and Jewellery Ltd — Important, 21-01-2026: Company Update

The National Company Law Tribunal has sanctioned the Scheme of Arrangement for the amalgamation of Narbada Gems and Jewellery Limited with Uday Jewellery Industries Limited, effective from April 1, 2024. Under the scheme, Narbada shareholders will receive 4,623 equity shares of Uday Jewellery for every 10,000 shares they hold. This merger aims to simplify operating structure, achieve cost savings, pool resources, enhance business growth, and improve financial stability for the combined entity. Narbada Gems and Jewellery will be dissolved without winding up once the scheme becomes effective.
