Bharat Forge Limited — JV/Acquisition, 12-02-2026: Amalgamation/Merger

Bharat Forge's Board has approved the merger of Ferrovia Transrail Solutions Private Limited (FTSPL) with BF Infrastructure Limited (BFIL). This strategic move is for overall group restructuring and consolidation. FTSPL, a step-down wholly-owned subsidiary, will merge into BFIL, a wholly-owned subsidiary. As FTSPL is a fully-owned entity, no shares will be issued, and no cash consideration will be paid. The company confirmed there will be no change in Bharat Forge's shareholder structure as a result. FTSPL currently has no business activities after completing its projects.
