"Acquirers") and Rawmin Mining And Industries Private Limited ("Person Acting in Concert" or "PAC")

in accordance with the provisions of the Securities. and Exchange Board of India (Substantial Acquisitions

of Shares and Takeovers) Regulations, 2011 ("SEBI (SAST) Regulations") (the "Open Offer" or "Offer").

Statement published on January 13, 2026 in Financial Express (English - alledition), Jansatta (Hindi - all

edition),Navshakti (Marathi - Mumbai edition) and Udaykala (Regional) (Bangalore Edition) ("DPS")and Draft Letter of

Offer dated ("DLOF")dated January 21, 2026;the Target Company, has constituted the committee of Independent

Directors for recommendation of Open Offer.
