Cubical Financial Services Ltd — Important, 01-01-1970: Company Update

Acquirers Mr. Manoj Agrawal and Mr. Amit Kumar Saraogi, with their associated persons, have launched a mandatory open offer for Cubical Financial Services. They aim to acquire up to 3.77 Cr equity shares (26% of emerging equity) at ₹ 2.50 per share, totaling ₹ 9.44 Cr. This follows their agreement to acquire 2.01 Cr shares (13.83%) from current promoters for ₹ 4.12 Cr and a preferential allotment of 8 Cr shares (55.11%) for ₹ 20 Cr. Collectively, they will hold 68.94% of the company, taking control and becoming the new promoters.
