National Fittings Ltd — Important, 22-05-2026: Company Update

National Fittings Limited's board has approved a Scheme of Amalgamation to merge Avisa Private Limited and Banil Casting Private Limited into NFL. There is no cash consideration involved in this merger. Upon the scheme becoming effective, shareholders of Avisa will receive 103,098 NFL equity shares (face value Rs. 10) for every 1,000 Avisa shares. Similarly, Banil shareholders will get 472 NFL equity shares (face value Rs. 10) for every 1,000 Banil equity or preference shares. This share exchange ratio was determined by a registered valuer and independently confirmed as fair by a merchant banker.
