Ruchi Infrastructure Limited — JV/Acquisition, 28-05-2026: Amalgamation/Merger

Ruchi Infrastructure's board approved a merger with Lennox Investment Pvt. Ltd. and Multiacre Investment Services Pvt. Ltd. The amalgamation targets stronger capitalisation, improved debt-equity ratios, operational flexibility, and cost reduction. Lennox shareholders will receive 5582 Ruchi Infra equity shares (Re.1 each) for every 1 Lennox equity share (Rs.10 each). Multiacre shareholders get 6423 Ruchi Infra equity shares (Re.1 each) for every 1 Multiacre equity share (Rs.10 each). Approximately 13.13 Cr new shares will be issued, raising Ruchi Infra's paid-up capital from 23.60 Cr to 36.73 Cr, implying dilution for a more robust entity.
