Rose Merc Ltd — Important, 02-06-2026: Company Update

Rose Merc Limited has executed a Shareholders Agreement with Virtual Gain Technologies Private Limited and its promoters. This agreement establishes the rights and obligations for Rose Merc's acquisition of 30.01% of Virtual's shares for Rs. 1 Cr, involving 4,288 shares at Rs. 2,332 each. Rose Merc will now appoint a majority of Virtual's directors, have approval rights on reserved matters, and benefit from further funding and anti-dilution provisions. A Virtual promoter is also proposed to join Rose Merc's board.
