Pursuant to the provisions of Regulation 30 read with sub-para 20, Para A, Part A, Schedule III of the SEBI

(Listing Obligations and Disclosure Requirements), Regulations 2015 (Listing Regulations), we hereby

submit the disclosure regarding the Order passed by the Quasi-Judicial Authority, Securities and

Exchange Board of India.

The details of the above Orders as required under Regulation 30 of Listing Regulations are given below:

Nature and details of the action(s) The Company has received an order from SEBI

against itself and its Director, Mr. Satish Ramanlal

Gajjar, alleging violations of Sections 12A(a),

12A(b), and 12A(c) of the SEBI Act, along with

Regulations 3(a), 3(b), 3(c), 3(d), 4(1), 4(2)(f),

4(2)(k), and 4(2)(r) read with Regulation 2(1)(c)

of the PFUTP Regulations. Pursuant to the said

order, a monetary penalty of Rs. 10 lakhs have

been imposed on Mr. Satish Ramanlal Gajjar under

Section 15HA of the SEBI Act. Further, the

Company is liable to disgorge an amount of Rs.

40,84,556/-. Additionally, both the Company and

Mr. Satish Ramanlal Gajjar have been restrained

from accessing the securities market and are

prohibited from buying, selling, or otherwise

dealing in securities, either directly or indirectly,

for a period of five (5) years.
